This Terms of Use Agreement (the "Agreement") is a legally binding agreement between YDSTK, LLC, doing business as Designer Subs, a limited liability company organized under the laws of the state of Florida (“YDSTK, dba Designer Subs”), and the Client, whether an individual or an entity, accessing and using Designer Subs website and subscription service at https://www.designersubs.com (the "Website") and any other related media form, channel, mobile website, or mobile application (collectively referred to as the "Platform").

By accessing and using the Website or the Platform, the Client agrees to be bound by all the terms, conditions, and obligations set forth in this Agreement. Failure to agree to and comply with these terms and obligations will result in the immediate prohibition of the Client's use of the Website, and the Client is required to discontinue use promptly. In such a case, the relationship between the Client and YDSTK, dba Designer Subs shall cease to exist, except that the Client remains obligated to pay YDSTK, dba Designer Subs for any services rendered, and such obligation shall continue until fulfilled.

Ownership of Materials

All design and original source files created on the Client's behalf ("Projects") shall belong to the Client. The Client shall be the sole owner of the copyright for all Projects. In the event that any legal provision would transfer ownership of a Project, in whole or in part, to YDSTK instead of the Client, YDSTK hereby irrevocably and perpetually assigns its entire interest in the Project to the Client without limitation. The Client warrants that any materials provided to YDSTK as examples or to be incorporated into a project during the design process are owned by the Client and do not infringe upon or misappropriate any third party's rights, including but not limited to intellectual property rights and rights of publicity. YDSTK reserves the right to share the Client's design work publicly (on social media, website, etc.)

Intellectual Property Rights

Unless explicitly stated otherwise, the ownership of the Website belongs to YDSTK LLC, dba as Designer Subs. All elements of the Website, including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in any format (collectively referred to as the "Content"), as well as the trademarks, service marks, and logos (collectively referred to as the "Marks"), are owned and controlled by YDSTK, dba Designer Subs. These assets are protected by copyright, trademark laws, and other applicable intellectual property laws and regulations of the United States, foreign jurisdictions, and international conventions.The Content and Marks are provided on an "As-Is" basis, intended solely for your personal information and use. Except as expressly permitted herein, no part of the Website, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the prior express written permission of YDSTK, dba Designer Subs. All rights in the Website, Content, and Marks are reserved by YDSTK, dba Designer Subs.

Cooperation

YDSTK, dba Designer Subs shall use best efforts in the performance of obligations under this Agreement. The Client shall provide such access to its information and property as may be reasonably required in order to permit YDSTK, dba Designer Subs to perform the obligations hereunder. YDSTK, dba Designer Subs shall cooperate with the Client’s personnel, shall not interfere with the conduct of the Client’s business and shall observe all rules, regulations and security requirements of the Client concerning the safety of persons and property.

Payments

By subscribing to our service, you acknowledge and agree that your subscription will automatically renew each month. Your payment method will be charged on a recurring basis until you cancel or pause your subscription.

Additional Costs

The Client acknowledges and agrees that they are responsible for any additional costs associated with their Projects, such as but not limited to images, custom illustration, digital assets, third-party font licenses, or third-party contractors required for the completion of the Project. These additional costs shall be communicated to the Client in writing and agreed upon prior to the commencement of such services or acquisition of assets. The Client shall bear the responsibility for making the necessary arrangements and payments for these additional costs, separate from the fees charged by YDSTK for their services. The Client assumes full responsibility for any consequences arising from their failure to purchase the necessary licenses for any third-party fonts, images, or any other digital asset that is incorporated into a Project.

Management and Oversight

YDSTK, dba Designer Subs reserves the right to monitor the Website for violations of these Terms of Use and to take appropriate legal action in response to a violation of the Terms of Use or any applicable law, statute, or regulation. YDSTK, dba Designer Subs further reserves the right to restrict or deny access to the Website, or service, or disable the Client's use of the Website. Such decisions will be made at the sole discretion of YDSTK, dba Designer Subs without notice or liability to the Client. All decisions regarding the management of the Website will be at the sole discretion of YDSTK, dba Designer Subs and will be designed to protect YDSTK, dba Designer Subs' rights and property.

Refunds, Cancellation, and Subscription Termination

Clients have the option to cancel or pause their subscription at any time. Upon cancellation or pause, Clients will retain access to the service until the end of their current billing cycle. YDSTK, dba Designer Subs does not provide refunds for any fees or charges already incurred. By canceling or pausing the subscription, Clients acknowledge that they will not receive a refund for any unused portion of the subscription. Only in the event of an issue at no fault to the Client. Refund requests will be evaluated on a case-by-case basis.
